1. Terms
IQVIA (“IQVIA” or “we, us, our”) operates the Docnet Portal (“Portal”) to provide an online web solution that is designed, among other things, to allow healthcare professionals (“HCPs” or “you, your”) to participate in IQVIA market research studies and/or surveys (“Surveys”). Your access and use of the Portal is subject to the following terms and conditions and constitutes acceptance of these terms (“Terms of Use”).
2. Access to the User space
Only HCPs taking part in Surveys may access the Portal’s user space. Once you decide to join the Portal, you will be asked to create and confirm your new password. Once you have created your password, you may access the Portal user space and respond to any questionnaire that you have been invited to participate in.
These credentials, username and password are confidential and must not be shared with any third parties. Unauthorized access to the Portal is strictly prohibited. HCPs are solely liable for the use and confidentiality of these identifiers.
3. Access to the Portal
The equipment (hardware, software, telecommunications systems, etc.) used to allow access the Portal shall be your sole responsibility, as shall the telecommunications costs (if any) incurred by its use.
4. Use of the Portal
Once you are logged in, you may access and participate in the Surveys. By using the Portal, you agree:
- To use the Portal in accordance with the purpose set out in these Terms of Use;
- To provide accurate information in responses to the Surveys in which you participate, and accurate information generally in the Portal;
- To use your password and username only for the purpose of authentication to the Portal, and not communicate, disseminate, share or make accessible, in any way, your password and/or username to any third party;
- Not post or upload any content containing remarks that are defamatory, racist, inciting to hatred or violence, or any other Content likely to offend general standards of public decency, be against public order, or contrary to any applicable laws or regulations, illegal, obscene, threatening, defamatory, invasive of privacy, or otherwise injurious to third parties or objectionable;
- Not to post any confidential information relating to a third party (e.g., laboratory, patient) nor any medical data or any personally identifiable information about a patient or consumer.
IQVIA does not want you to, and you should not, send any confidential or proprietary information to IQVIA via the Portal. Any submission by you to IQVIA, including but not limited to questions, comments, suggestions or the like shall be deemed to be non-confidential and shall become the property of IQVIA.
Furthermore, by your submission you grant IQVIA an unrestricted, irrevocable license to use, reproduce, display, perform, modify, transmit, and distribute such information. IQVIA shall be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products incorporating such information. You will not receive any further compensation beside the one provided by IQVIA for participating in Surveys through the Portal. If you fail to comply with these Terms of Use, your user account may be terminated immediately without notice.
5. Liability
5.1. General
The Portal and the services it provides are provided “as is”, and we make no warranties or representations with regard to the Portal or the use of the Portal. We disclaim any warranty of title and any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, quiet possession, satisfactory quality or non-infringement of any third party intellectual property rights with regard to the Portal, and/or the use thereof.
We make no warranty or guarantee as to the completeness or accuracy of the information contained in the Portal. Moreover, we reserve the right to modify, without prior notice, the existence and/or content of said information, and shall not be held liable therefor. In addition, IQVIA shall in no way or circumstances be liable for any direct or indirect material or consequential damage of any kind whatsoever related to the total or partial use of the information contained in the Portal.
As the company hosting the Portal, we do not carry out any controls on the content that you may add. Nevertheless, if unlawful or inappropriate content is reported, we may decide to delete the content and we may not be held liable for such acts.
To the maximum extent permitted by law, neither IQVIA nor its affiliates shall be held liable for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Portal, or any information contained therein. HCPs should be aware that they use the Portal at their own risk.
5.2. Access to the Portal
You acknowledge and accept that only HCPs are authorized to have access to the Portal. Accordingly, you must immediately inform us of any changes to your status as an HCP or a professional situation that could, in particular, affect the access rights granted to you herein.
We reserve the right to refuse to activate or to disable a username and password at any time and without prior notice, in particular in the following cases:
- You provide us with false information during the registration process;
- You fail to provide us with information on changes to your status as a HCP;
- You are no longer authorized to access the Portal following the changes to your status;
- You disclose your password to a third party;
- You use the Portal in a fraudulent manner or in breach of these Terms of Use.
5.3. Use of the Portal
You must have the necessary hardware equipment and software and the necessary parameters required to properly use the Portal: up-to-date browsing software, JavaScript functions enabled, cookies enabled, and pop-ups enabled. We do not guarantee that the Portal will be usable if your Internet service provider is unable to provide its service properly.
You agree we cannot be held responsible for the non-functioning, non-availability or adverse conditions of usage of the Portal resulting from incorrect hardware, problems experienced by your Internet service provider or blockages on the Internet networks or for all other reasons outside our sphere of influence. We make no warranty as to the uninterrupted and effective operation of the Portal.
The Portal is developed by, or for, IQVIA and is designed to support HCPs participating in Surveys. The viewing of the Portal may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the Portal may require third party software that is subject to third party licenses.
6. Hypertext links and commercial content
IQVIA will not be held liable for the content of advertisements or information published on the Portal by third party advertisers.
Furthermore, the Portal may provide hypertext links to other websites. Unless otherwise indicated, the websites to which these links lead the user are independent of the Portal. These links do not represent in any manner approval of these websites and in no way constitute a partnership between us and said websites. Consequently, IQVIA cannot be held liable for the content, products, advertising, or other elements or services present on these websites. Under no circumstances may pages of the Portal be incorporated into the pages of another website without IQVIA’s express prior written consent. IQVIA disclaims any liability for unauthorized hypertext linking.
7. Intellectual Property
The Portal, software, texts, animated and still images, technology, know-how, Surveys, Survey responses, databases, and any and all content, including, but not limited to, any and all visual elements of the Portal, whether or not they are registered as trademarks or accompanied by the symbols TM, ®, or ©, and any and all information appearing on the Portal are the exclusive property of IQVIA, its parent company, sister companies and/or affiliates or its partners.
The trademarks of IQVIA and/or its affiliates, and the logos appearing on the Portal are registered marks and therefore the property of IQVIA and/or its affiliates.
Any total or partial reproduction of any of the aforementioned elements, marks or logos without IQVIA’s express prior written permission is therefore prohibited and constitutes an act of infringement.
These Terms of Use are confidential and are the property of IQVIA. Consequently, and without limitation, any dissemination, exploitation, representation, reproduction or use, whether partial or total, on any medium, of these Terms of Use, requires IQVIA’s prior written authorization.
8. No Waiver
In the event that any party to these Terms of Use fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.
9. Applicable law and jurisdiction
These terms and conditions and the relationship between you and IQVIA, without regard to principles of conflict of laws, shall be governed by and construed in accordance with the laws of England and you agree to submit to the exclusive jurisdiction of the Courts of England.
10. Privacy
IQVIA´s Online Privacy Policy https://www.iqvia.com/about-us/privacy/online-privacy-policy is incorporated by reference into these Terms of Use. We may also process various information about healthcare professionals as part of the Onekey index we maintain. 11. Modification of the Terms of Use
IQVIA reserves the right to modify and update these Terms of Use at any time without giving you prior notice. You are encouraged to regularly check the latest version of these Terms of Use. Your use of the Portal following any such modification constitutes your agreement to follow and be bound by the Terms of Use as modified.
12. Survival
If any provision of these Terms of Use is held to be invalid or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.
